These Terms govern your access to, usage of all content, Products and Services available at Raw Digital LLC (the "Service") operated by Raw Digital LLC ("us", "we", or "our").
Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein. By accessing or using any part of our Services, you agree to be bound by these Terms.
Description of Service
Raw Digital LLC provides Digital Marketing services, including Search Engine Optimization (SEO), Pay-Per-Click Advertising (PPC), Social Media Management, and Content Marketing solutions ("Services"). Specific deliverables, project timelines, and monthly ad budgets are detailed in your selected Service Agreement or Proposal.
Payment & Billing
Fees for Digital Marketing Services are billed on a recurring monthly retainer or project-based schedule. Invoices are generated at the start of the billing cycle. Ad spend is typically billed directly to the client by the platform (e.g., Google, Meta) unless stated otherwise. Failure to pay agency fees by the due date may result in a late fee or temporary suspension of services and campaign management until the balance is cleared.
Acceptable Use Policy
The Client agrees to use the Service for lawful business growth purposes only. You may not use our marketing services to promote illegal products, transmit malicious code, send unsolicited bulk email (spam), or infringe upon the intellectual property rights of others. We reserve the right to terminate service for violations of platform advertising policies.
Campaign Assets & Intellectual Property
Any creative assets developed by Raw Digital LLC (ad copy, graphics, landing pages) remain the intellectual property of Raw Digital LLC until full payment is received. Upon completion and payment, ownership of standard deliverables transfers to the client. Proprietary software, reporting dashboards, and internal methodology remain the sole property of Raw Digital LLC.
Service Availability & Timelines
While we strive for prompt execution and strict adherence to project timelines, we do not guarantee immediate results. Organic growth and campaign optimization take time. Occasional platform updates, algorithm changes, or unforeseen technical issues may cause temporary fluctuations in performance. We are not liable for any sudden drop in rankings or business interruption caused by third-party search engines or social networks.
Termination
You may cancel your marketing retainer at any time by providing 30 days written notice, unless stipulated otherwise in a fixed-term contract. Early termination fees may apply if you are under a specialized project agreement.
Limitation of Liability
In no event will Raw Digital LLC be liable for any indirect, special, incidental, or consequential damages arising out of the use or inability to use the Service, including but not limited to loss of data, loss of anticipated profits, or shifts in market share.
Changes
Raw Digital LLC reserves the right to modify these Terms at any time. Material changes will be communicated to clients via email or through our primary communications portal.
